Terms of use
These Terms of Use & Terms of Service are a binding agreement between Thence Digital Private Limited, a company incorporated in India (“Thence,” “we,” “us”), and the person or entity that accesses or uses the Platform, registers for or uses our services (“Client,” “you,” “your”). By accessing, using the Platform, registering for an account, subscribing to a Plan, or otherwise using the Service, you expressly agree to these Terms. If you do not agree, do not use the Platform and/or Service.
1. Definitions
“Service” means and includes UI/UX design, front end development , branding, creative design, content writing and graphic design subscription service operated by Thence. “Plan” means any of the subscription tiers offered by Thence. “Deliverables” means design work, source files, and related creative output produced by Thence for the Client under these Terms. “Account” means the Client’s registered access to the Service.
2. Acceptance of Terms and Privacy Policy
This Platform is controlled and operated by us from our offices within the Republic of India. We make no representation that materials in the Platform are appropriate or available for use in other locations, and access to them from territories where its contents are illegal is prohibited. Those who choose to access this Platform from locations outside India are solely responsible for compliance with all applicable laws.
Our Privacy Policy, which can be found at https://www.doublle.com/privacy (the “Privacy Policy”), describes how we may use your personal information. By continuing to use this Platform and/or Services, you accept the Privacy Policy, which is incorporated herein by reference. If you object to your personal information being used as described in the Privacy Policy, please do not use the Platform and/or Service.
3. Service
- Thence provides artificial intelligence powered Services on an ‘on-demand’ subscription basis. The Client submits requests through the Doublle Platform and Thence’ personnel produce Deliverables on a rolling basis, subject to the capacity of the Client’s Plan.
- Thence operates a queue-based workflow specific to the Plan. Thence works through your queue in order. Turnaround times depend on the complexity of the request, the length of your queue, and the quality of your brief.
- One round of revision is included within the scope of an active request. Additional revisions and revisions that are substantial or received after a request is marked Completed will be treated as a new request at Thence’s reasonable discretion.
4. Use of Artificial Intelligence
- You acknowledge and agree that Thence may utilize or incorporate products, systems, or tools (including without limitation tools owned by third parties) that incorporate or use generative artificial intelligence and/or machine learning technologies (“AI”) to deliver, support, augment, or optimize the performance of the Platform, Services, and/or in the development of Deliverables.
- You acknowledge and agree that in order to use AI, Thence will be required to submit prompts, instructions, or your data to the AI tools, consequently, during the Term, you grant Thence the intellectual property license (with the right to sublicense to applicable third-party AI tools) to your data to transmit, store, and process inputs with such tools solely for the purposes set out herein. Except as authorized herein, Thence shall not include your intellectual property, your Confidential Information, or your personal data in input.
- As a part of the Services, Thence may have its personnel review and, if appropriate, edit any output generated before finalising the Deliverable to ensure conformance to the brief and intended quality standards.
- Thence represents that its use of third-party AI tools is properly licensed or authorized for Thence’s intended use to generate Deliverables for your benefit and will not impose unexpected usage restrictions on the Deliverable.
- Thence represents and warrants that, to the best of Thence’s knowledge the use of AI, including third-party AI tools does not infringe or misappropriate the intellectual property rights of any third party. Subject to the foregoing, Thence does not provide any other warranty on Deliverables created using AI tools.
- You acknowledge and agree that the use of third party AI tools to create Deliverables are subject to the applicable terms of such third party AI and that you have read and understood and agree to such terms. If you do not agree, do not use the Services with AI assistance.
5. Registration
You must register an Account to use the Service. You are responsible for providing accurate information, maintaining the confidentiality of your credentials, and all activity that occurs under your Account. We will communicate with you using the contact details provided by you at the time of registration, including without limitation as notices that are to be given to you. You may not share your Account credentials with any third party, except for employees or contractors who act on your behalf and are bound by these Terms.
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.
6. Subscription and Billing
- For every subscription Plan you will be allocated a certain number of monthly credits, these credits are to be utilised within the month failing which they expire. There will be no carry forward, advance utilization or accumulation of credits.
- Thence offers monthly, quarterly, half-yearly and yearly billing frequencies. Pricing for each Plan and billing frequency is available at https://app.doublle.com/app/plans-pricing and may be updated from time to time.
- Thence accepts payments processed through a third party payment gateway. All fees are charged in U.S. Dollar (USD), except for clients based out of India for whom the fees will be charged in Rupees (INR) as stated on the pricing page.
- All subscriptions other than the one time Plans auto-renew at the end of the current billing period using the payment method on file. You may cancel your subscription at any time through your Account settings, subject to Section 6.
- Thence may change the price of any Plan. We will give at least seven (7) days’ prior notice before the change takes effect. If you do not agree with a price change, you may cancel your subscription before the change takes effect. Continued use after the change takes effect constitutes acceptance.
- All subscription fees are non-refundable under any circumstances. This applies to all Plans and all billing frequencies (monthly, quarterly, half-yearly and yearly), and to both initial subscriptions and renewals. Without limiting the foregoing, Thence does not provide refunds for:
- Unused portions of any billing period;
- Requests that have been submitted but not yet delivered (these remain in your queue until fulfilled, cancelled, or your subscription ends);
- Partial months following cancellation, pause, or downgrade;
- Dissatisfaction with the Deliverables
- Scheduled maintenance, or observed holidays disclosed in our help center
If you are unsure about committing to a longer billing cycle, we recommend starting on a starter Plan and upgrading once you are confident the Service meets your needs.
- Half yearly Plan holders may voluntarily pause their active subscription once during the 6 month period and yearly Plan holders may voluntarily pause their active subscription twice during the 12 month period. Notwithstanding the foregoing, no pause may exceed 45 days. While paused, you retain access to past requests, messages, and Deliverables, but you cannot submit new requests. You may resume your subscription at any time.
- You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. After the effective date of cancellation, your access to the Platform, past requests, Deliverables, and messages may be revoked and associated data may be deleted in accordance with our data retention schedule (see Privacy Policy).
- You are responsible for downloading and archiving any Deliverables you wish to retain before your cancellation takes effect. Thence is not obligated to restore access to, or re-deliver, Deliverables after your subscription ends.
8. Payment Issues
- If a scheduled payment fails, the third party payment gateway provider used by Thence may attempt to retry the charge, the exact terms of such attempts are available at the checkout page of the third party payment gateway.. You will receive email notice after each failed attempt. If all retry attempts fail, your subscription will be automatically cancelled and your access to the Platform, files, and messages will be revoked at the end of the current billing period.
- If you initiate a chargeback, payment dispute, or otherwise reverse, reject, or refuse payment for any subscription invoice, you agree that Thence may, at its sole discretion: (i) immediately suspend or terminate your Account and access to the Service; (ii) reclaim full ownership of, and all intellectual property rights in, any Deliverables, source files, licensed stock content, and creative work produced during the disputed billing period and any prior billing period for which payment has been reversed or not completed; (iii) revoke any licenses or rights previously granted to you in those Deliverables and require you to cease all commercial and personal use, and destroy all copies in your possession or control; or (iv) pursue any remedy available under applicable law to recover outstanding amounts, including reasonable legal fees and costs.
- Any use, reproduction, display, or distribution of Deliverables after Thence has revoked your rights under this Section 7 constitutes copyright infringement and a breach of these Terms.
- You may request reinstatement of your rights to the affected Deliverables by paying all outstanding amounts owed, plus any fees or costs Thence incurred in connection with the dispute. Reinstatement is granted at Thence’s sole discretion. No reinstatement restores access to any data or files that have already been deleted under our retention schedule.
9. Communication and Confidentiality
- You agree that Thence may send confirmation, Service information, or any such other information relevant to the Service, via email provided by you at the time of registration.
- At the time of registration on the Platform, you may by ‘opting in’, specifically authorize Thence to contact you with offers on various Services offered by us through notifications on the Platform, emails, SMS, WhatsApp or any other medium, from time to time.
- In case you later choose not to be contacted, you can opt-out by clicking on the “unsubscribe” link located at the bottom of our marketing emails or you may write to us for specific exclusion at privacy@doublle.com
- For purposes of this Agreement, the term “Confidential Information” means non-public or proprietary information, including, without limitation, information relating to current or future business, products and services, research, images, development, design details and specifications, and marketing plans.
- During the course of our relationship, you may disclose to us your Confidential Information. We agree to hold in confidence and not disclose to any third party any of your Confidential Information, except as approved or directed in writing by you and will use your Confidential Information for no purpose other than for the Services. We will limit access to your Confidential Information to only those employees, officers, directors, contractors, representatives and agents who are involved in providing Services to you. We will be responsible to you for any breach of this provision by our employees, officers, directors, contractors, representatives and agents.
- During the course of our relationship, we may similarly disclose to you our Confidential Information. You agree to hold in confidence and not disclose to any third party any of our Confidential Information, except as approved or directed in writing by us and will use our Confidential Information for no purpose, except as permitted by this Agreement. You will limit access to our Confidential Information to only those employees, officers, directors, contractors, representatives, and agents to whom it is necessary to disclose our Confidential Information. You will be responsible to you for any breach of this provision by your employees, officers, directors, contractors, representatives, and agents.
- Notwithstanding anything to the contrary in this Agreement, the following is not Confidential Information: (a) information that was in the public domain at the time of its disclosure or has entered the public domain without breach of this Agreement; (b) information that was already in the rightful possession of a party at the time of disclosure; (c) information that is independently developed by a party without breaching this Agreement; or (d) information that becomes known to a party, without restriction, from a third party source not directly or indirectly involving a breach of this Agreement.
10. Intellectual Property Rights
- Subject to Section 7 and your compliance with these Terms (including full payment of all amounts owed), Thence hereby assigns to the Client all right, title, and interest in the Deliverables produced specifically for the Client under the Service.
- Some Deliverables may incorporate licensed stock photography, illustrations, fonts, or other pre-existing materials. These materials remain subject to the license terms of their original owner. Thence only uses stock content under commercial licenses that permit client use in the Deliverables. The Client receives the benefit of these licenses with the Deliverables.
- If you provide logos, photography, copy, fonts, or any other materials for inclusion in the Deliverables, you represent and warrant that they hold all necessary rights to those materials. Thence is not liable for any third-party claims arising from Client-provided materials. The Client indemnifies Thence against any such claims per Section 13.
- You hereby grant us a limited, nonexclusive, non-sublicensable, royalty-free worldwide license to use, publish, and display any Deliverables that we develop in connection with the Services for the purpose of marketing and advertising (the “Portfolio Rights License”). You may revoke the Portfolio Rights License at any time by sending a written notice to legal@doublle.com. If you revoke the Portfolio Rights License, we will stop using your Deliverables for marketing and advertising purposes.
11. Acceptable Use Policy
- You agree not to use the Service to request, receive, or distribute content that:
- infringes any third party’s intellectual property or other rights;
- violates any applicable law or regulation;
- is defamatory, harassing, obscene, or that promotes violence or discrimination based on race, ethnicity, gender, religion, sexual orientation, disability, or other protected characteristics;
- solicits, depicts, or sexualizes minors;
- deceives or misleads or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;
- is designed to deceive, including phishing, fraud, or impersonation; or
- contains malware or is intended to disrupt the operation of any system 2. You further agree: (i) not to interfere with or disrupt the Platform or the servers or networks connected to the Platform; (ii) not to reproduce, duplicate, copy, resell, or exploit for commercial purpose any portion of the Platform, or the use or access to the Platform.
Thence may refuse, remove, or delay any request that it reasonably believes violates this Section.
11. Disclaimer of Warranties
The Service and all Deliverables are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Thence disclaims all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement. Thence does not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. The Client is solely responsible for evaluating whether Deliverables meet the Client’s business needs before using them.
12. Limitation of Liability
To the maximum extent permitted by law, Thence’ total aggregate liability arising out of or relating to these Terms, the Service, or any Deliverables, whether in contract, tort, or otherwise, is limited to the subscription fees paid by the Client to Thence in the one (1) month immediately preceding the event giving rise to the claim.
Under no circumstances is Thence liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost business opportunities, even if advised of the possibility of such damages.
13. Indemnification
The Client agrees to defend, indemnify, and hold harmless Thence and its officers, directors, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of:
- the Client’s breach of these Terms;
- the Client’s use of the Service in violation of law;
- materials the Client provides to Thence for inclusion in any Deliverable; and
- third-party claims related to the Client’s use of any Deliverable
- Suspension and Termination
Thence may suspend or terminate your Account at any time, with or without notice, for: (i) breach of these Terms, including Section 10 (Acceptable Use Policy) and Section 7 (Payment Issues); (ii) conduct that is abusive, threatening, or harassing toward Thence staff; (iii) use of the Service in a way that disrupts or harms other customers; or any activity that exposes Thence to legal or reputational risk.
On termination for cause, no refunds are owed. Deliverables and files may be retained or deleted at Thence’ discretion, subject to Section 7 for unpaid or disputed invoices.
15. Modifications to These Terms
Thence may update these Terms from time to time. If changes are material, we will notify you by email or through the Service at least seven (7) days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, your remedy is to cancel your subscription before they take effect.
16. Privacy Policy
By using the Platform, you agree to be bound and abide by the Privacy Policy and the terms more particularly set forth therein and adopted and incorporated herein. The Platform is hosted in the Republic of India. Access of the Platform from the EU, USA or other region of the world may result in the applicability of laws, statutes or regulations differing from those of India which govern personal data collection, use or disclosure. Your continued use of the Platform and transfer of data to India constitutes your express consent to the transfer and processing of data in India.
17. Quality Assurance Committee
Thence has set up a Quality Assurance Committee made up of subject matter experts as a governing body to resolve any issues or complaints regarding the quality of Services rendered. If you are facing any issues with the quality of Deliverables you may write to the Quality Assurance Committee at support@doublle.com for redressal.
18. Governing Law and Disputes
These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws principles. Subject to the decision of the Quality Assurance Committee, any dispute arising out of or relating to these Terms or the Service will be resolved in the courts in Bangalore, India, which will have exclusive jurisdiction, except that Thence may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
19. Miscellaneous
These Terms, together with the Privacy Policy and any scope of service or pricing documents referenced, are the entire agreement between the parties regarding the Service and supersede any prior agreements. If any provision of these Terms is found unenforceable, the rest remains in full effect. Failure by Thence to enforce any provision is not a waiver of that provision. The Client may not assign these Terms without Thence’ written consent. Thence may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
